Terms of Service

1. Acceptance of Terms

By accessing vgraple.com or engaging VGraple for any services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our website or services. These terms apply to all visitors, clients, and others who access our services.

2. Services

VGraple provides digital marketing services including but not limited to: Website Design & Development, Search Engine Optimisation (SEO), Answer Engine Optimisation (AEO), Google Ads Management, Meta Ads Management, and Local SEO & Google Business Profile management.

The specific scope, deliverables, and timeline for any engagement will be outlined in a separate Project Brief or Service Agreement provided to you before work commences. In the event of any conflict between these Terms of Service and a specific Service Agreement, the Service Agreement shall take precedence.

3. Payments & Pricing

3.1 Website Design Projects

• →50% deposit is required to commence work. The remaining 50% is due upon project completion before the website goes live.
• →Prices quoted are fixed. Scope changes requested after project commencement may incur additional charges, agreed in writing before implementation.
• →All prices shown on our website are in Indian Rupees (INR) unless stated otherwise.

3.2 Digital Marketing Retainers

• →Retainers are billed monthly, in advance, on the 1st of each month.
• →A minimum engagement period of 3 months applies. After the minimum period, either party may terminate with 30 days written notice.
• →Advertising budgets (Google Ads, Meta Ads) are paid directly by the client to the platform. VGraple management fees are separate and do not include ad spend.
• →Late payment (beyond 7 days of invoice date) may result in service suspension.

3.3 Refund Policy

Website design deposits are non-refundable once work has commenced, as time and resources are committed immediately. Retainer fees paid for a given month are non-refundable once that month has begun. If you are not satisfied with our services, please contact us - we will work to resolve the issue before any termination is considered.

4. Client Responsibilities

To enable VGraple to deliver services effectively, clients agree to:

• →Provide accurate and complete information, content, and assets in a timely manner
• →Review and provide feedback on deliverables within the agreed timeframe (typically 5 business days)
• →Ensure all content and materials provided do not infringe third-party intellectual property rights
• →Maintain necessary access credentials (domain registrar, hosting, ad accounts, etc.) and share securely with VGraple when required
• →Make timely payments as invoiced

5. Intellectual Property

5.1 Client Content

Content, logos, images, and materials provided by the client remain the client's intellectual property. By providing them to VGraple, you grant us a licence to use them for the purpose of delivering your services.

5.2 Deliverables

Upon receipt of full and final payment, all custom design and code created for your specific project becomes your property. VGraple retains the right to showcase the project in our portfolio and case studies unless you request otherwise in writing.

5.3 Pending Payment

All deliverables remain the property of VGraple until full payment has been received. We reserve the right to withhold delivery of final files and website access until outstanding payments are cleared.

6. Performance & Results

While VGraple uses best practices and proven strategies to improve your digital marketing performance, we cannot guarantee specific rankings, traffic volumes, or advertising results. Search engines and social platforms operate independently and their algorithms change frequently. Any projections or estimates provided are based on industry benchmarks and historical data - they are not guarantees.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. VGraple will not disclose client business information, strategies, or analytics data to third parties (other than what is necessary to deliver the services, e.g., platform access for ad management).

8. Limitation of Liability

VGraple's total liability for any claim arising from our services shall not exceed the fees paid by the client in the 3 months preceding the claim. We are not liable for: indirect or consequential losses; loss of profits or business; losses arising from third-party platform changes (Google, Meta, Hostinger); or losses resulting from the client's failure to meet their responsibilities under Section 4.

9. Website Usage

All content on vgraple.com - including text, graphics, logos, and images - is the property of VGraple and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our website content without prior written permission. You agree not to use our website for any unlawful purpose or in any way that could damage, disable, or impair our services.

10. Governing Law

These Terms of Service are governed by the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India. For international clients, disputes shall first be attempted to be resolved through good-faith negotiation before any formal proceedings.

11. Changes to Terms

We may update these Terms of Service periodically. The "Last updated" date at the top indicates when changes were last made. Continued use of our website or services after changes constitutes acceptance of the updated terms. For ongoing client engagements, material changes will be communicated with 30 days notice.
